Opel Progressing Steps to Establish Organizational Prerequisites in Anticipation of Joining PSA Group

Opel News - Opel progressing steps to closing of the agreement between GM and PSA.

Rüsselsheim. To be prepared for the closing of the agreement between GM and PSA, Opel has discussed with its works council certain steps to the company’s legal status. The ultimate goal is that Opel’s European businesses that will join PSA will be grouped together under one company. This was announced to the employees today during all-employee meetings.

In a first step, already planned before PSA-announcement the Adam Opel AG will be converted into a GmbH. In the next steps Opel Group GmbH will be merged into Adam Opel GmbH. The combined business activities of the Opel/Vauxhall companies will be consolidated under one company. These changes to the company’s legal status will lead to a less complex organizational structure. They are expected to take place in the course of the second quarter and will be communicated in due time to all affected employees.

All co-determination rights of the employees will remain unchanged. All the labor obligations of the existing companies and the continuation of the collective agreements will be assumed by the company resulting from the above transformation.

As already communicated at the contract-signing, all the European pension plans of Opel/Vauxhall will remain at GM – with the exception of the pension plans of active employees in Germany and a selection of smaller plans in other European countries that will be transferred to PSA.

Product agreements for the Rüsselsheim and Eisenach plants are confirmed. The successor of the Mokka X will be built in Eisenach from 2019. A large SUV will be produced in Rüsselsheim as of the end of the decade.

In addition, investments are also confirmed for exports of sister products for another GM brand from these plants.

All other agreements, which have been made between the company and employee representation, are to be valid after Opel/Vauxhall joins PSA Group. This includes questions concerning the capacity utilization of the engineering center in Rüsselsheim.

Closing Condition

The closing of the agreement between GM and PSA that will trigger the integration of Opel/Vauxhall into PSA is subject to various regulatory approvals, including the clearance by the European Commission.
